1Who these terms are with

AwareAI is a product of SMA MEDIA IT NETWORK LTD, a private limited company registered in England and Wales under company number 13682450, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX ("AwareAI", "we", "us"). You can reach a person at info@awareai.live.

These terms are the agreement between you and us covering the AwareAI iPhone app, the AwareAI website, and the connection service that links your Telegram account to the app (together, the Service). By creating an account, connecting a Telegram account, or using the app, you accept them. If you do not accept them, do not connect an account.

2Who may use AwareAI

You may use the Service if all of the following are true.

• You are at least 18 years old.
• You are using it for your own work or business, as a person who works for themselves or runs a small business.
• The Telegram account you connect belongs to you and you control it.
• You are not barred from using our services under the law that applies to you.

The Service is built for one person and one account. It is not a shared inbox, a team tool, or a way to supervise employees.

3What AwareAI does

When you connect a Telegram account, the Service watches the conversations on that account for things that look like an agreement: a date, a promise, a thing you owe someone, a thing someone owes you. It also notices how long a conversation has been silent. From those, it may send you a notification, usually in the morning, and it may offer a draft reply.

Reading and understanding your messages happens on your iPhone, using the intelligence built into the device by Apple. Messages pass through our connection service only in order to reach your phone.

What it is not

AwareAI is an assistant, not a record. It is not a contract management system, not accounting software, not a legal or financial adviser, not a calendar of record, and not a substitute for your own diary, your own paperwork, or your own judgement. It does not tell you what your legal obligations are, and nothing it says is advice.

4Your Telegram account, and cutting it off

To work at all, the Service needs a signed in session on the Telegram account you choose. You create that session yourself, deliberately, by logging in through Telegram's own login process. We never ask you for your Telegram password and we cannot see it.

That session lets the Service read the conversations on your account. It exists only to do that.

You can end it at any time, without us. Open Telegram, go to Settings, then Devices or Active Sessions, and terminate the AwareAI session. The Service stops reading immediately. You may also end it from inside the app or by writing to us.

Telegram may end the session on its own, for its own reasons. Sessions also expire. If that happens the Service stops noticing things until you connect again, and you may receive nothing at all in the meantime. We are not able to prevent this.

5We are not Telegram, and we are not Apple

AwareAI is an independent product. We are not affiliated with, endorsed by, sponsored by, or connected to Telegram Messenger Inc., Telegram FZ LLC, or Apple Inc. Telegram is a trademark of its owner. Apple and Apple Intelligence are trademarks of Apple Inc. We use those names only to describe what our product works with.

Your use of Telegram stays governed by Telegram's own terms and privacy policy. Your use of your iPhone and the App Store stays governed by Apple's. If our Service and one of theirs disagree, theirs governs their part, and you remain responsible for keeping to them.

6The other people in your conversations

This is the part most people skip, and it is the part that matters most.

A conversation has two sides. The people you talk to have not agreed to these terms and may not know that AwareAI exists. When you connect an account, you are choosing to put your side and their side of those conversations through a tool.

You confirm that you have the right to do so, and you accept that as between you and us, you are responsible for that decision, including under any data protection or privacy law that applies to you. If you are in the United Kingdom or the European Economic Area and you use AwareAI for your business, you are most likely the controller of the personal data in those conversations, under the UK GDPR or the EU GDPR as applicable, and we act as your processor in respect of the part that passes through our connection service. If you need a data processing agreement to satisfy that, write to us and we will provide one.

We have built the Service so that this exposure is as small as it can reasonably be: understanding happens on your device, and we do not retain the contents of your conversations. That reduces the risk. It does not move the responsibility.

7What we hold

In short: as little as we can, for as little time as we can.

• The contents of your messages are not stored by us. A message passing through our connection service on its way to your phone is held only for as long as that takes, and is discarded once it arrives.
• There is no screen, tool, or export anywhere in our systems for reading your conversations. That is deliberate, and it applies to us as much as to anyone else.
• What the app works out from your conversations, the promises, the dates, the drafts, stays on your iPhone.
• We do hold what is needed to run an account: your email address, the state of your subscription, the fact that a device of yours is linked, and a token that allows a notification to reach it.

How we handle personal data, and your rights over it, are set out in our Privacy Policy, which forms part of these terms.

8Drafts are yours to send

AwareAI may write a draft reply in your voice. It is a draft. It is not sent, queued, or scheduled, and the Service will not send a message on your behalf.

If you send something AwareAI drafted, you sent it. You are responsible for its content, its accuracy, any promise it makes, any price it quotes, and any consequence it has. Read it before you send it. Treat every draft as a starting point written by a machine that does not know your business as well as you do.

9It can be wrong, and it can be silent

Please read this section properly, because the Service is not useful to you if you misunderstand it.

AwareAI works out meaning from ordinary conversation using an automated model. That process is imperfect by nature. It will sometimes:

• miss a promise you made, and say nothing
• read a promise that was never made
• attribute an obligation to the wrong side
• get a date, a place, a price, or a name wrong
• treat something said in passing as a commitment

Separately, a notification may simply not arrive, or may arrive late. Reasons include your phone being off or offline, notifications being disabled, the Telegram session having ended, our connection service being unavailable, Apple's notification service delaying or dropping the message, and ordinary faults.

Do not rely on AwareAI as the only thing standing between you and a deadline. It is a second pair of eyes over conversations you already had. It is not a guarantee, and we do not promise that any particular notification will be produced, will be correct, or will be delivered.

10How you may not use it

You must not:

• connect a Telegram account that is not yours, or that you have obtained access to without the account holder's knowledge
• use the Service to monitor, track, profile, or build a picture of another person, whether a partner, a family member, an employee, a competitor, or anyone else
• use it to harass, stalk, threaten, defraud, or discriminate against anyone
• use it in a way that breaks Telegram's terms, Apple's terms, or any law that applies to you
• attempt to extract, copy, or reverse engineer the Service, its models, or its prompts, or take its output to train or develop another model
• probe, scan, overload, or interfere with our systems, or try to reach any part of them you were not given
• resell, sublicense, or provide the Service to anyone else as if it were your own

Using AwareAI to watch another person is the one misuse we treat as absolute. If we become aware of it we will end your access immediately and without refund.

11Subscription, trial, and cancelling

AwareAI is sold as an auto renewing subscription through Apple. The current prices, the length of each period, and the terms of any free trial are shown in the app and on the App Store page before you buy, and those are the ones that apply to you.

• Apple takes the payment, not us. Your subscription is billed to your Apple Account.
• It renews automatically at the end of each period unless you turn off renewal at least 24 hours before that period ends.
• If a free trial is offered and you do not cancel at least 24 hours before it ends, it becomes a paid subscription at the price shown.
• You cancel through Apple, in Settings on your iPhone, under your Apple Account, then Subscriptions. We cannot cancel it for you and cannot see your payment details.
• Cancelling stops the next payment. It does not shorten the period you have already paid for.
• Refunds are Apple's decision, not ours. Request them through Apple. Where the law where you live gives you a right to cancel or a right to a refund, that right stands regardless of anything in this section.

If we change the price, we will tell you before it affects you, and the change will only ever apply to a period you have not yet paid for. If you do not accept it, turn off renewal.

If your subscription lapses, the app stops watching your conversations and stops notifying you. What is already on your phone stays on your phone until you delete the app.

12The Service is early, and it will change

AwareAI is a young product being used by a small number of people. We may add, change, or remove parts of it. We may change what it notices, how often it speaks, or how it decides. We will not knowingly remove something that is the reason you pay without telling you first and giving you a fair chance to stop paying.

We do not promise that the Service will be available without interruption. We will try to keep it running and we will not pretend that it always will.

13Ending it

You. Stop whenever you like. Turn off renewal through Apple, terminate the session in Telegram, and delete the app. If you want your account and the records we hold about it deleted, write to info@awareai.live and we will do it.

Us. We may suspend or end your access if you break these terms, if we are required to by law, if we reasonably believe you are using the Service to watch another person, or if we stop offering the Service. Except where you have broken these terms, if we end your access part way through a period you have paid for, we will arrange a fair refund of the unused part through Apple.

When access ends, our permission to read the connected account ends with it, and any session we hold for it is destroyed.

14What belongs to whom

The Service, the app, the website, the name AwareAI, and everything we made to build them belong to us. You get a personal, limited, non exclusive, non transferable permission to use the app on Apple devices you own or control, for as long as you keep to these terms. Nothing more is granted.

Your conversations, and what the app works out from them, are yours. We claim no ownership of them and no licence to use them beyond running the Service for you.

If you choose to send us feedback, you allow us to use it to improve the Service without owing you anything for it. Do not include the contents of a client's conversation in feedback.

15Warranties

The Service is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error free, or that any notification will be produced, correct, or delivered.

Where you are a consumer, or where the law where you live gives you rights that cannot be excluded, those rights are not affected by this section.

16Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential, or punitive loss, nor for loss of profit, loss of business, loss of a contract, loss of an opportunity, loss of goodwill, or loss of data, however caused, arising out of or connected to the Service. This includes, in particular, any loss arising because a notification was not produced, was wrong, or did not arrive, and any loss arising from a message you sent that AwareAI drafted.

To the fullest extent the law allows, our total liability to you for everything connected to the Service is limited to the greater of the amount you actually paid us in the twelve months before the claim arose, or fifty pounds sterling.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.

17Indemnity

You agree to hold us harmless from any claim, demand, loss, or cost brought by a third party arising from your use of the Service, including a claim by a person whose conversation with you was processed, a claim arising from a message you sent, and a claim arising from your having connected an account you were not entitled to connect.

18Changes to these terms

We may update these terms. If a change matters to you, meaning it reduces what you get or increases what you owe, we will tell you by email or in the app at least 14 days before it takes effect. Continuing to use the Service after that means you accept it. If you do not, stop using it and turn off renewal.

Every version carries an effective date at the top. We keep the previous versions and will send you one on request.

19Law, disputes, and the rest

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. If you are a consumer resident in another country, nothing here takes away the protection of the mandatory law of the place you live, and you keep the right to bring proceedings there.

Before going to court, write to us. Most things are a misunderstanding and can be settled in a few messages.

If any part of these terms is unenforceable, the rest stands. Our not enforcing something once does not mean we have given it up. You may not transfer your rights under these terms; we may transfer ours as part of a sale or reorganisation of the business, and your rights will not be reduced by it. These terms, together with the Privacy Policy, are the whole agreement between us about the Service.

Because AwareAI is delivered through the App Store, the following apply to the app and prevail over anything inconsistent in these terms.

1. This agreement is between you and us only, and not with Apple. Apple is not responsible for the app or its contents.
2. The licence granted to you is a non transferable licence to use the app on any Apple branded product you own or control, as permitted by the App Store Usage Rules, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing.
3. We alone are responsible for maintenance and support of the app. Apple has no obligation to provide either.
4. If the app fails to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation in respect of the app, and any other claim for failure to conform to a warranty is ours to handle.
5. We, not Apple, are responsible for addressing any claim by you or a third party relating to the app or your possession or use of it, including product liability claims, claims that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or privacy law.
6. We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third party claim that the app infringes that party's intellectual property rights.
7. You represent and warrant that you are not located in a country subject to a United States Government embargo or designated as a terrorist supporting country, and that you are not on any United States Government list of prohibited or restricted parties.
8. You must comply with any applicable third party terms of agreement when using the app, including the terms of Telegram and of your data plan.
9. Apple and Apple's subsidiaries are third party beneficiaries of this Schedule and may enforce it against you.
